Terms & Conditions

Please read these terms carefully before using Omnius Cloud services. By using our platform, you agree to be bound by the following terms.

1. Acceptance of Terms

By accessing or using any service provided by Omnius Cloud Private Limited ("Omnius Cloud", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of our services immediately. These terms apply to all visitors, users, and customers of our platform.

2. Services Provided

Omnius Cloud provides cloud infrastructure, managed hosting, dedicated servers, colocation, virtualization, network security, IT consulting, and related managed services. The specific scope of services is defined in your Service Order or Master Service Agreement (MSA). We reserve the right to modify, suspend, or discontinue any service with reasonable prior notice.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or security breach. Omnius Cloud will not be liable for any loss resulting from unauthorized use of your account. You must provide accurate, current, and complete information during registration and keep it updated.

4. Acceptable Use Policy

You agree not to use our services for any unlawful purpose, to transmit malicious code, to conduct denial-of-service attacks, to infringe intellectual property rights, or to engage in any activity that disrupts or interferes with our infrastructure or other customers. Violation of this policy may result in immediate suspension or termination of services without refund.

5. Payment & Billing

All fees are billed in advance on a monthly or annual basis as specified in your service plan. Invoices are due within 15 days of issuance unless otherwise agreed. Late payments may attract interest at 1.5% per month. Omnius Cloud reserves the right to suspend services for accounts with outstanding dues beyond 30 days. All prices are exclusive of applicable taxes.

6. Service Level Agreement (SLA)

Omnius Cloud commits to a 99.99% monthly uptime SLA for its core infrastructure services. In the event of downtime attributable to Omnius Cloud, customers may be eligible for service credits as defined in the applicable SLA document. Scheduled maintenance windows, force majeure events, and customer-caused outages are excluded from SLA calculations.

7. Data Privacy & Security

We process your data in accordance with our Privacy Policy and applicable data protection laws including the Information Technology Act, 2000 and its amendments. We implement industry-standard security measures including encryption at rest and in transit, access controls, and regular audits. You retain ownership of all data stored on our infrastructure.

8. Intellectual Property

All software, platforms, tools, documentation, and branding associated with Omnius Cloud services are the exclusive intellectual property of Omnius Cloud Private Limited. You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes. You may not reverse-engineer, copy, or redistribute any part of our platform.

9. Limitation of Liability

To the maximum extent permitted by law, Omnius Cloud's total liability for any claim arising out of or related to these terms shall not exceed the fees paid by you in the three (3) months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunities.

10. Termination

Either party may terminate services with 30 days written notice. Omnius Cloud may terminate immediately in cases of material breach, non-payment, or violation of the Acceptable Use Policy. Upon termination, you are responsible for retrieving your data within 15 days. After this period, data may be permanently deleted.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in [City], India.

12. Amendments

Omnius Cloud reserves the right to update these Terms at any time. We will notify registered users via email or in-platform notification at least 14 days before material changes take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
